Tech Turtle Terms of Service

These Terms of Service (“Terms”) govern all websites, services, projects, subscriptions, products, audits, reports, consulting, marketing plans, communications, purchases, and agreements provided by Tech Turtle LLC (“Tech Turtle,” “we,” “us,” or “our”).

By using our website, purchasing a product, submitting payment, approving a proposal, booking a service, signing an agreement, or engaging Tech Turtle in any way, you agree to these Terms.

1. Agreement to Terms

By accessing our website or engaging Tech Turtle for any service, you confirm that you have read, understood, and agree to these Terms.

These Terms apply to all services, including but not limited to:

  • Website design and development

  • Website audits

  • Video audits

  • Strategy diagnostics

  • Growth system setup

  • Growth system management

  • Google Ads management

  • SEO and local optimization

  • Google Business Profile work

  • Lead tracking

  • Call tracking

  • CRM setup

  • Automations

  • Consulting

  • Branding

  • Content creation

  • Landing pages

  • Reporting

  • Marketing plans

  • Any related digital service

If a separate written agreement, proposal, invoice, or statement of work conflicts with these Terms, the more specific written agreement controls only for that specific conflict.

2. Agency Positioning

Tech Turtle operates as a strategic digital partner focused on websites, lead flow, conversion systems, tracking, and marketing growth.

Clients hire Tech Turtle for expertise, execution, creative strategy, technical setup, and performance-focused systems.

Tech Turtle is not simply selling hours. We are providing strategy, systems, implementation, intellectual property, and business-focused digital work.

3. Services Overview

Tech Turtle may provide services including but not limited to:

  • Website design

  • Website rebuilds

  • Landing pages

  • Conversion optimization

  • Lead tracking setup

  • Call tracking setup

  • CRM and automation setup

  • Google Business Profile optimization

  • Google Ads management

  • Local SEO

  • Website audits

  • Custom video audits

  • Strategy diagnostics

  • Growth system setup

  • Monthly growth management

  • Reporting

  • Consulting

  • Branding and design

  • Content planning

  • Marketing systems and operational support

Services may change, expand, or be discontinued at any time.

4. Scope of Work

All services are limited to what is clearly agreed upon in writing through a proposal, invoice, checkout page, email, agreement, or statement of work.

Anything not specifically included is outside the scope.

Out-of-scope work may include, but is not limited to:

  • Additional pages

  • Extra revisions

  • New features

  • Redesigns

  • Copywriting beyond agreed scope

  • Advanced automations

  • Ad campaign rebuilds

  • Extra meetings

  • Additional reports

  • Rush work

  • Platform migrations

  • Custom integrations

  • Ongoing support beyond the agreed plan

Out-of-scope work will be billed separately.

5. Client Responsibilities

Clients are responsible for providing timely:

  • Communication

  • Feedback

  • Approvals

  • Content

  • Images

  • Login access

  • Platform permissions

  • Brand materials

  • Business information

  • Payment

  • Legal disclaimers

  • Service details

  • Pricing information

  • Any other materials needed to complete the work

Tech Turtle is not responsible for delays, performance issues, missed deadlines, or incomplete work caused by client inaction, missing information, restricted access, incorrect access, delayed approvals, or late payment.

6. Approval and Non-Response

If Tech Turtle sends work, questions, drafts, designs, reports, deliverables, or requests for approval, the client is responsible for responding in a timely manner.

Unless otherwise agreed in writing, silence or non-response for more than 24 hours after a request for approval may be treated as approval to proceed.

If client delays prevent progress, Tech Turtle may pause the project, adjust timelines, invoice for completed work, or require a restart fee.

7. Revisions Policy

Unless otherwise stated in writing:

  • Projects include two rounds of revisions

  • Revisions must be submitted as one consolidated request per round

  • Additional revisions are billed separately

  • Revisions do not include complete redesigns

  • Revisions do not include new strategy, new structure, or new scope

  • Revisions do not include changes caused by late client content, changed direction, or new preferences after approval

A “revision” means reasonable edits to the agreed deliverable. It does not mean restarting the project because the client changed their mind, showed it to twelve relatives, and discovered that everyone suddenly became a creative director.

8. Pricing and Payment

Pricing is based on the service, scope, timeline, and agreement in place at the time of purchase or approval.

Tech Turtle may require:

  • Full payment upfront

  • A deposit before work begins

  • Milestone payments

  • Monthly recurring payments

  • Setup fees

  • Subscription payments

  • Separate ad spend or platform fees

  • Separate software or third-party fees

Work may not begin until required payment is received.

All invoices must be paid by the due date listed on the invoice.

9. No Refund Policy

All payments to Tech Turtle are non-refundable unless Tech Turtle agrees otherwise in writing.

This includes, but is not limited to:

  • Deposits

  • Setup fees

  • Website payments

  • Audit payments

  • Strategy payments

  • Diagnostic payments

  • Growth system payments

  • Monthly marketing payments

  • Rush fees

  • Consulting fees

  • Design fees

  • Development fees

Payments are non-refundable because Tech Turtle allocates time, strategy, labor, creative work, technical resources, opportunity cost, and internal planning once a service is purchased or work begins.

No refunds are provided because of:

  • Buyer’s remorse

  • Change of mind

  • Client delays

  • Client failure to provide access or content

  • Client failure to use delivered work

  • Dissatisfaction with results not guaranteed by Tech Turtle

  • Third-party platform issues

  • Ad account issues

  • Market conditions

  • Business changes

  • Termination after work has started

10. Growth System Setup Payment Policy

For any Growth System Setup, website setup, tracking setup, funnel setup, or related buildout:

  • Work does not fully transfer to the client until paid in full

  • All materials remain property of Tech Turtle until paid in full

  • Tech Turtle may withhold files, access, designs, strategy, copy, tracking setup, automations, reports, credentials, and deliverables until full payment is received

  • If the client fails to pay in full, Tech Turtle may keep, remove, disable, reuse, repurpose, or retain all unpaid materials to the fullest extent allowed by law

  • Partial payment does not create ownership of unfinished or unpaid work

  • Deposits and partial payments are non-refundable

  • Work may be paused immediately if payment is missed, reversed, disputed, or delayed

Upon full payment, the client receives rights to the final approved deliverables specifically created for that client, except for Tech Turtle’s retained intellectual property listed in these Terms.

11. Monthly Marketing Plans and 3-Month Minimum

Any monthly marketing plan, growth management plan, advertising management plan, SEO plan, Google Business Profile plan, CRM management plan, reporting plan, or ongoing marketing service requires a minimum 3-month commitment unless otherwise agreed in writing.

This 3-month minimum exists because proper marketing work requires enough time to:

  • Set up tracking

  • Collect data

  • Make improvements

  • Monitor performance

  • Optimize campaigns

  • Review lead quality

  • Adjust strategy

  • Measure meaningful results

One month is not enough time to fairly evaluate a marketing system, despite what impatient humans and their dashboards may wish.

12. Billing for Monthly Plans

Monthly plans are billed according to the invoice, subscription, checkout page, or written agreement.

Unless otherwise stated:

  • Monthly fees are due in advance

  • Payment is required before each service period begins

  • Late payment may result in paused services

  • Missed payments do not cancel the 3-month minimum

  • The client remains responsible for all payments owed during the 3-month minimum

  • After the initial 3-month minimum, the plan continues month-to-month unless canceled according to these Terms

13. Cancellation of Monthly Plans

After the 3-month minimum is completed, either party may cancel an ongoing monthly plan with written notice.

Unless otherwise agreed in writing, cancellation requires at least 30 days’ written notice before the next billing date.

Cancellation does not remove responsibility for:

  • Past due invoices

  • Work already performed

  • The remaining balance of a 3-month minimum

  • Third-party platform fees

  • Ad spend

  • Software fees

  • Approved project costs

  • Any other outstanding balance

14. Late Payments and Non-Payment

If payment is late, missed, reversed, disputed, or incomplete, Tech Turtle may:

  • Pause services

  • Stop work

  • Disable access

  • Withhold deliverables

  • Remove unpaid work

  • Suspend websites, campaigns, automations, or tracking

  • Delay timelines

  • Charge late fees where allowed by law

  • Require payment in full before resuming work

  • Cancel services

  • Send unpaid balances to collections

  • Recover collection costs, attorney fees, and related expenses where allowed by law

Tech Turtle is not responsible for losses, downtime, missed leads, lost revenue, ad interruption, ranking changes, website interruption, or business disruption caused by non-payment or paused services.

15. Chargebacks and Payment Disputes

Clients agree to contact Tech Turtle directly to resolve billing concerns before initiating any chargeback, dispute, reversal, or payment claim.

Improper chargebacks or payment disputes may result in:

  • Immediate suspension of services

  • Loss of access to unpaid deliverables

  • Cancellation of active work

  • Collections activity

  • Additional administrative fees where allowed by law

  • Legal action if necessary

A payment dispute does not cancel the client’s contractual responsibility to pay for services already purchased, performed, or committed to.

16. Advertising Spend and Third-Party Costs

Unless expressly stated in writing, Tech Turtle’s service fees do not include:

  • Google Ads spend

  • Meta/Facebook ad spend

  • Hosting

  • Domains

  • CRM subscriptions

  • Call tracking software

  • Email/SMS costs

  • App fees

  • Plugins

  • Stock assets

  • Premium software

  • Third-party platform fees

The client is responsible for all third-party costs, subscriptions, advertising budgets, platform fees, and related expenses.

17. Results Disclaimer

Tech Turtle provides strategy, systems, creative work, marketing execution, and technical support designed to improve visibility, conversion flow, lead tracking, and growth.

However, Tech Turtle does not guarantee specific outcomes, including:

  • Rankings

  • Traffic

  • Leads

  • Calls

  • Form submissions

  • Sales

  • Revenue

  • Profit

  • Return on ad spend

  • Cost per lead

  • Conversion rate

  • Google Business Profile ranking

  • Ad approvals

  • Specific business growth

  • Specific customer behavior

Results depend on many factors outside Tech Turtle’s control, including market demand, competition, pricing, offer strength, client reputation, reviews, budget, responsiveness, sales process, service quality, staffing, seasonality, location, platform changes, and follow-up.

You are hiring professional strategy and execution, not sorcery in a polo shirt.

18. Lead and Customer Disclaimer

Tech Turtle may help generate visibility, traffic, inquiries, calls, forms, leads, or improved lead flow.

Tech Turtle does not guarantee:

  • Lead quality

  • Customer quality

  • Sales outcomes

  • Close rates

  • Customer behavior

  • Appointment show rates

  • Customer lifetime value

  • Revenue from leads

  • Client’s ability to answer phones, follow up, close jobs, or deliver services

The client is responsible for their own sales process, customer service, pricing, operations, reputation, and follow-up.

19. Platform Disclaimer

Tech Turtle may work with third-party platforms such as:

  • Google

  • Meta/Facebook/Instagram

  • Wix

  • GoDaddy

  • Domains and hosting providers

  • CRM systems

  • Call tracking systems

  • Email/SMS systems

  • Analytics platforms

  • Scheduling software

  • Payment processors

Tech Turtle is not responsible for:

  • Platform downtime

  • Account suspensions

  • Ad disapprovals

  • Policy changes

  • Algorithm changes

  • Tracking issues caused by platforms

  • Bugs

  • Security breaches outside our control

  • Loss of account access

  • Platform pricing changes

  • Third-party errors

  • Third-party data loss

  • Third-party service interruptions

20. AI and Automation Disclosure

Tech Turtle may use AI-assisted tools, automation tools, templates, software, scripts, and internal systems to improve efficiency, analysis, strategy, content creation, reporting, design workflows, and service delivery.

AI and automation may assist with:

  • Research

  • Drafting

  • Content ideas

  • Website audits

  • Data analysis

  • Reporting

  • Strategy development

  • Workflow automation

  • Messaging drafts

  • Design support

Tech Turtle reviews outputs before delivery when appropriate, but clients are responsible for reviewing and approving final content, claims, legal language, and business representations before publication.

21. Content Responsibility

Clients are responsible for all content, materials, claims, images, testimonials, logos, offers, service descriptions, pricing, legal disclaimers, guarantees, and business information they provide or approve.

By providing or approving content, the client confirms that:

  • They have the right to use it

  • It is accurate to the best of their knowledge

  • It does not violate laws or third-party rights

  • It does not contain misleading claims

  • It complies with applicable industry rules and platform policies

Tech Turtle may refuse, remove, revise, or disable content if we believe it creates legal, platform, ethical, payment, or reputational risk.

22. Intellectual Property

All work created by Tech Turtle remains property of Tech Turtle until paid in full.

This includes, but is not limited to:

  • Designs

  • Drafts

  • Layouts

  • Copy

  • Strategy

  • Website sections

  • Graphics

  • Reports

  • Audits

  • Tracking systems

  • Automations

  • Templates

  • Frameworks

  • Processes

  • Internal documents

  • Source files

  • Campaign structures

  • Funnels

  • Code snippets

  • Creative concepts

  • Unpublished work

  • Work in progress

Upon full payment, the client receives rights to use the final approved deliverables specifically created for the client, unless otherwise stated in writing.

Tech Turtle retains ownership of:

  • Internal systems

  • Templates

  • Frameworks

  • Processes

  • Methods

  • Know-how

  • Reusable components

  • Strategy models

  • Audit frameworks

  • Reporting formats

  • General ideas

  • Non-client-specific tools

  • Pre-existing intellectual property

23. Portfolio Rights

Unless otherwise agreed in writing, Tech Turtle may display completed work, results, screenshots, designs, websites, reports, case studies, testimonials, and project summaries in its portfolio, website, proposals, social media, ads, or marketing materials.

Tech Turtle may reference the client’s business name, logo, website, general project type, and non-confidential results for promotional purposes.

Confidential or sensitive information will not be intentionally disclosed without permission.

24. Confidentiality

Both parties may receive confidential information during the business relationship.

Tech Turtle will take reasonable steps to protect confidential client information.

Confidential information does not include information that is:

  • Publicly available

  • Already known

  • Independently developed

  • Required by law to be disclosed

  • Approved for public use

  • Necessary to show general portfolio or case study work without exposing sensitive details

25. Account Access and Ownership

Clients are responsible for maintaining ownership of their own business accounts whenever possible, including Google accounts, websites, domains, hosting, CRM accounts, ad accounts, and business profiles.

If Tech Turtle creates, manages, or accesses an account for the client, ownership and access transfer may be subject to:

  • Full payment

  • Platform rules

  • Security requirements

  • Written agreement

  • Completion of services

  • Any outstanding balance being paid

Tech Turtle may withhold access to unpaid work, unpaid setups, unpaid assets, or systems created by Tech Turtle until all balances are paid.

26. Timelines

Timelines are estimates unless expressly stated as guaranteed in writing.

Timelines may be affected by:

  • Client responsiveness

  • Client content delays

  • Revision delays

  • Scope changes

  • Platform issues

  • Payment delays

  • Third-party access issues

  • Technical problems

  • Illness, emergencies, or workload

  • Additional requests

Tech Turtle is not responsible for timeline delays caused by client inaction, missing materials, third-party issues, or changes outside the agreed scope.

27. Meetings and Communication

Tech Turtle may communicate by email, phone, text, video call, project management tools, forms, or other reasonable business channels.

Excessive meetings, calls, messages, or support outside the agreed scope may be billed separately.

Tech Turtle may set boundaries around response times, meeting availability, and communication channels to protect workflow and service quality.

28. Paused, Abandoned, or Delayed Projects

A project may be considered paused or abandoned if the client fails to respond, provide materials, approve work, or make payment for more than 14 days, unless otherwise agreed in writing.

For paused or abandoned projects, Tech Turtle may:

  • Pause all work

  • Remove the project from active scheduling

  • Require a restart fee

  • Adjust pricing

  • Update timelines

  • Invoice for completed work

  • Cancel the project

  • Retain all payments made

  • Retain all unpaid materials

29. Termination

Either party may terminate services with written notice, subject to any active minimum commitment, unpaid balance, or written agreement.

Upon termination:

  • All outstanding balances become due immediately

  • Work may stop immediately

  • Services may be paused, removed, or disabled

  • Tech Turtle may withhold unpaid deliverables

  • Monthly minimum commitments remain owed

  • No refunds are provided for work already paid, started, performed, or reserved

Termination does not remove payment obligations already incurred.

30. No Employment, Partnership, or Agency Relationship

Nothing in these Terms creates an employment, partnership, joint venture, franchise, fiduciary, or legal agency relationship between the client and Tech Turtle.

Tech Turtle operates as an independent contractor.

31. Client Legal Compliance

The client is responsible for ensuring their business, website, advertising, offers, claims, pricing, forms, privacy practices, terms, industry disclosures, and customer communications comply with applicable laws and regulations.

Tech Turtle does not provide legal, financial, tax, medical, insurance, regulatory, or compliance advice.

Clients should consult qualified professionals for legal or regulated industry requirements.

32. Indemnification

The client agrees to defend, indemnify, and hold harmless Tech Turtle, its owners, contractors, employees, partners, vendors, and affiliates from claims, damages, losses, liabilities, costs, and expenses arising from:

  • Client-provided content

  • Client-approved content

  • Client business practices

  • False or misleading claims

  • Legal or regulatory violations

  • Copyright or trademark issues

  • Platform misuse

  • Customer disputes

  • Products or services sold by the client

  • Client failure to comply with laws

  • Client failure to pay

  • Client misuse of delivered work

33. Limitation of Liability

To the fullest extent allowed by law, Tech Turtle is not liable for:

  • Lost profits

  • Lost revenue

  • Lost leads

  • Lost business opportunities

  • Data loss

  • Downtime

  • Platform errors

  • Advertising account issues

  • Search ranking changes

  • Algorithm changes

  • Security breaches outside our control

  • Third-party failures

  • Indirect, incidental, special, punitive, or consequential damages

Tech Turtle’s total liability is limited to the amount paid by the client for the specific service giving rise to the claim.

34. Dispute Resolution

Both parties agree to first attempt to resolve disputes privately and in good faith before taking public or legal action.

If a dispute cannot be resolved informally, disputes shall be handled through binding arbitration under the laws of the State of Wisconsin, unless prohibited by law.

The client agrees not to make false, misleading, defamatory, or harmful public statements about Tech Turtle while a dispute is being privately addressed.

35. Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles.

36. Force Majeure

Tech Turtle is not responsible for delays or failures caused by events outside our reasonable control, including:

  • Natural disasters

  • Illness

  • Emergencies

  • Internet outages

  • Platform outages

  • Cyberattacks

  • Government actions

  • Power failures

  • Labor issues

  • War, civil unrest, or major disruptions

  • Third-party provider failures

37. Updates to Terms

Tech Turtle may update these Terms at any time.

Updated Terms will be posted on our website with a new “Last Updated” date.

Continued use of Tech Turtle’s website, services, products, plans, or subscriptions after updates means the client accepts the updated Terms.
